Hedge Fund Sales Guidelines And Rules
When you are considering how the guidelines work in hedge fund sales it is very important to remember that hedge funds are private investment vehicles that are not allowed to solicit investors in any way. Because of this, hedge fund sales are only allowed if the investor contacts the hedge fund manager themselves, either directly or using a hedge fund consultant to initiate contact. It is also important to realize that all interests that are sold during hedge fund sales are considered private and are not able to be made public. Because hedge funds are private holdings and the subsequent hedge fund sales are also part of private offerings the sales are not required to be registered with the SEC according to the 1933 Act Section 4(2).
However, any investment that is purchased that is a public offering is required to be registered in accordance to the guidelines and rules. The way these guidelines and rules are applies vary depending upon the exact investment option that is sold. With hedge funds being private it is important that they follow all of the guidelines and restrictions that apply to hedge fund sales to ensure that everything is handled in the best legal way possible. Because of the fact that hedge funds are private, it is essential that a fund manager never advertise any information about assets for sale in a public place that is able to be linked to the hedge fund. Any sales that take place must also be properly recorded to ensure that all investors in the hedge fund can see exactly what was sold, as well as the amount it was sold for. This comes back to accountability of the fund manger to ensure that assets are properly handled and are not misappropriated in any form. If someone has any specific questions about a potential hedge fund sale, or about a sale that is pending you can feel free to contact your financial advisor to seek clarification. This is often one of the best ways to ensure you are receiving information that is completely accurate because of the fact that information surrounding hedge funds is private. This means that it is very difficult at times to find the answers that you need online, and the complexity of hedge funds certainly does not make it easy to find answers on your own. Remember as well, if you have specific questions about a hedge fund sale you can contact the fund manager and ask them directly. Sometimes this is the best option so you can get all of the information you are looking for about a particular hedge fund sale rather than having to look around online for as much information as possible or having to ask various other people who may not be able to fully answer your questions. The secrecy that hedge funds hide behind can be useful in some aspects but it can make hedge fund sales hard to research and sometimes very difficult to participate in directly. If you are considering purchasing from a hedge fund, never do so without the help of a lawyer or a good financial advisor to ensure that everything is handled properly. |
